Terms of Service

The terms governing our services and your use of digitecultra.com. Last updated: June 2026.

1. Agreement to Terms

By engaging DIGITECULTRA ("we", "us") or using our website, you ("the Client") agree to these Terms of Service. If you do not agree, please do not use our website or services. A signed proposal or statement of work, together with these terms, forms the agreement between us.

2. Services

We provide digital marketing, design, development, brand, print and AI services as described in the relevant proposal or statement of work. The specific scope, deliverables and fees for each engagement are set out in that document. We will perform services with reasonable skill and care.

3. Payment Terms

Invoices are payable within 30 days of the invoice date unless otherwise agreed. Retainers are billed monthly in advance. Late payments accrue interest at 2% per month on the outstanding balance. We may suspend services on overdue accounts. Media and third-party costs are billed separately and are non-refundable once committed.

4. Intellectual Property

Upon full payment of all related fees, the Client owns the final deliverables created specifically for them. We retain ownership of our pre-existing tools, frameworks, methodologies and any unpaid work. We may showcase completed work in our portfolio and marketing unless otherwise agreed in writing.

5. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other and to use it only for the purpose of the engagement. This obligation survives termination of the agreement.

6. Limitation of Liability

To the maximum extent permitted by law, our total liability arising out of or related to the services shall not exceed the total fees paid by the Client in the three (3) months preceding the claim. We are not liable for indirect, incidental or consequential losses, including lost profits or revenue.

7. Termination

Either party may terminate an ongoing engagement by giving 30 days' written notice after the minimum term has been completed. Fees for work performed and costs committed up to the termination date remain payable. We may terminate immediately for material breach or non-payment.

8. Governing Law

These terms are governed by the laws of the United Arab Emirates. The courts of Dubai shall have exclusive jurisdiction over any dispute, subject to the dispute resolution process below.

9. Dispute Resolution

The parties will first attempt to resolve any dispute amicably through good-faith negotiation. If unresolved within 30 days, the dispute may be referred to mediation or arbitration in Dubai before either party initiates court proceedings.

10. Changes to Terms

We may update these terms from time to time. The version in force at the date of your signed proposal applies to that engagement.
